These Payment & Transaction Terms ("Payment Terms") govern the initiation, processing, receipt, settlement, cancellation, reversal and dispute of payments and other financial transactions conducted through FrameLaPay ("FrameLaPay", "we", "us", or "our").

These Payment Terms form part of the FrameLaPay Terms of Service.

⚠️ By initiating, receiving or otherwise participating in a transaction through FrameLaPay, you agree to these Payment Terms.

1. ABOUT FRAMELAPAY

FrameLaPay is a technology-enabled financial platform that may provide access to payment and financial services, including, depending on your location, eligibility and applicable product:

  • domestic payments;
  • international transfers;
  • currency conversion;
  • multi-currency accounts or wallets;
  • merchant payments;
  • digital-asset transactions;
  • payment collection;
  • payouts;
  • lending-related transactions; and
  • other financial technology services.

Certain financial services may be provided by licensed banks, payment institutions, financial institutions, digital-asset providers or other regulated partners.

Where a third party provides the regulated financial service, that service may be subject to the third party's own terms and regulatory requirements.

2. ELIGIBILITY

To use FrameLaPay payment services, you must:

  • satisfy the applicable age requirement;
  • provide accurate information;
  • successfully complete required verification;
  • maintain an active account;
  • comply with applicable laws;
  • have authority to initiate transactions from the relevant account; and
  • satisfy any product-specific requirements.

We may impose additional eligibility requirements for particular services.

3. ACCOUNT REQUIRED

Unless otherwise stated, you must have a FrameLaPay account to initiate transactions.

You are responsible for ensuring that your account information remains accurate.

You must not allow unauthorised persons to access or operate your account.

4. TRANSACTION AUTHORISATION

When you initiate a transaction, you authorise FrameLaPay and/or the applicable financial service provider to process the transaction according to the instructions you provide.

Before confirming a transaction, you should verify:

  • recipient;
  • amount;
  • currency;
  • payment method;
  • exchange rate where applicable;
  • fees;
  • destination account or wallet; and
  • other transaction details.

5. TRANSACTION CONFIRMATION

Once you confirm a transaction, we may begin processing it immediately.

Depending on the payment method and applicable law, you may not be able to cancel or modify the transaction after confirmation.

⚠️ You are responsible for ensuring that the transaction details are correct before submitting the transaction.

6. PAYMENT METHODS

FrameLaPay may support payment methods including:

  • bank transfers;
  • debit cards;
  • credit cards where permitted;
  • electronic payments;
  • mobile payments;
  • supported digital wallets;
  • cryptocurrency;
  • account balances; and
  • other payment methods made available by FrameLaPay or its partners.

Available payment methods may vary by country and product.

7. TRANSACTION LIMITS

FrameLaPay may impose limits on:

  • individual transactions;
  • daily transactions;
  • monthly transactions;
  • transfers;
  • wallet balances;
  • currency conversion;
  • card payments; and
  • digital-asset transactions.

Limits may depend on:

  • account verification;
  • transaction history;
  • risk level;
  • jurisdiction;
  • product;
  • payment method;
  • regulatory requirements; and
  • applicable partner restrictions.

8. FEES

FrameLaPay may charge fees for certain services.

Fees may include:

  • transaction fees;
  • transfer fees;
  • currency-conversion fees;
  • network fees;
  • processing fees;
  • service fees; and
  • other applicable charges.

Applicable fees will be disclosed before confirmation where reasonably practicable.

9. THIRD-PARTY FEES

A transaction may also involve fees charged by third parties, such as:

  • banks;
  • correspondent banks;
  • payment processors;
  • card networks;
  • blockchain networks;
  • financial institutions; or
  • other service providers.

📌 Unless otherwise stated, FrameLaPay is not responsible for fees imposed independently by third parties.

10. CURRENCY CONVERSION

Where FrameLaPay provides currency conversion, the applicable exchange rate will be displayed or otherwise communicated before confirmation where reasonably practicable.

The exchange rate may include:

  • the underlying market rate;
  • a provider rate;
  • a conversion margin; and/or
  • other applicable charges.

Foreign-exchange rates may change rapidly.

11. INTERNATIONAL TRANSFERS

International transactions may be subject to:

  • intermediary banks;
  • correspondent institutions;
  • foreign-exchange controls;
  • sanctions requirements;
  • local banking rules;
  • recipient-country requirements;
  • transaction limits;
  • additional verification; and
  • additional fees.

12. TRANSACTION PROCESSING TIMES

Processing times are estimates unless expressly stated otherwise.

A transaction may be delayed because of:

  • bank processing;
  • weekends;
  • public holidays;
  • time-zone differences;
  • compliance reviews;
  • fraud investigations;
  • sanctions screening;
  • technical issues;
  • payment-network delays;
  • blockchain congestion; or
  • third-party service interruptions.

13. TRANSACTION STATUS

Transactions may display statuses such as:

Pending Processing Completed Failed Cancelled Reversed Refunded Under Review Rejected

A transaction marked as "Completed" does not necessarily mean that a recipient has immediately received or withdrawn the funds where another financial institution remains involved.

14. PENDING TRANSACTIONS

A transaction may remain pending while FrameLaPay or a financial partner:

  • verifies the transaction;
  • confirms payment;
  • performs compliance checks;
  • performs fraud checks;
  • waits for a financial institution;
  • waits for blockchain confirmation; or
  • resolves a technical issue.

We may request additional information before completing a pending transaction.

15. FAILED TRANSACTIONS

A transaction may fail because of:

  • insufficient funds;
  • incorrect recipient information;
  • payment-method failure;
  • bank rejection;
  • compliance restrictions;
  • technical problems;
  • expired payment authorisation;
  • transaction limits; or
  • other circumstances beyond our control.

Where appropriate, we will inform you of the transaction status.

16. DECLINED TRANSACTIONS

We may decline a transaction where:

  • required information is unavailable;
  • the transaction presents unacceptable risk;
  • the transaction violates applicable law;
  • the recipient is restricted;
  • sanctions restrictions apply;
  • fraud is suspected;
  • the transaction exceeds applicable limits; or
  • the relevant financial partner declines the transaction.

17. TRANSACTION HOLDS

We may temporarily place a transaction on hold.

Reasons may include:

  • fraud prevention;
  • identity verification;
  • source-of-funds verification;
  • sanctions screening;
  • regulatory requirements;
  • unusual transaction activity;
  • technical investigation; or
  • requests from financial institutions or authorities.

We may request documentation to complete the review.

18. CANCELLATION

Where cancellation is technically and legally possible, you may request cancellation before processing is completed.

⚠️ Cancellation is not guaranteed.

Once funds have been transferred to a recipient or another financial institution, cancellation may no longer be possible.

19. REVERSALS

A transaction may be reversed where:

  • the transaction failed;
  • funds were incorrectly credited;
  • a payment was duplicated;
  • a payment provider reverses the transaction;
  • fraud is identified;
  • the transaction violates applicable requirements; or
  • reversal is required by law.

20. REFUNDS

Where you are entitled to a refund, the refund may be returned using:

  • the original payment method;
  • your FrameLaPay account;
  • another authorised payment method; or
  • another method required by applicable law.

Refund processing times may vary.

21. CHARGEBACKS

Where applicable, card transactions may be subject to chargeback procedures administered by the relevant card network or financial institution.

A chargeback may occur where a cardholder disputes a transaction.

FrameLaPay may provide relevant transaction information to the applicable payment provider to investigate the dispute.

22. UNAUTHORISED TRANSACTIONS

You must notify FrameLaPay promptly if you believe that a transaction was made without your authorisation.

You may be required to provide:

  • transaction details;
  • account information;
  • identification;
  • supporting documentation; and
  • other information necessary to investigate the claim.

You should also secure your account immediately.

23. INCORRECT RECIPIENT INFORMATION

You are responsible for providing accurate recipient information.

If you enter incorrect:

  • account numbers;
  • wallet addresses;
  • names;
  • bank details;
  • payment identifiers; or
  • other recipient information,

FrameLaPay may not be able to recover the funds.

For cryptocurrency transactions, sending assets to an incorrect blockchain address may result in permanent loss.

24. DIGITAL-ASSET TRANSACTIONS

Where FrameLaPay supports digital assets, transactions may be subject to blockchain-specific risks.

These include:

  • network congestion;
  • blockchain fees;
  • confirmation delays;
  • irreversible transactions;
  • smart-contract risks;
  • price volatility;
  • network failures;
  • chain reorganisations; and
  • unsupported assets or networks.

You are responsible for selecting the correct blockchain network and destination address.

25. BLOCKCHAIN TRANSACTIONS ARE GENERALLY IRREVERSIBLE

Once a digital-asset transaction has been confirmed on a blockchain, FrameLaPay may not be able to reverse it.

You should carefully verify:

  • wallet address;
  • blockchain network;
  • asset;
  • amount; and
  • destination.

26. CRYPTOCURRENCY FEES

Digital-asset transactions may involve network fees.

Network fees may vary depending on:

  • network congestion;
  • transaction size;
  • blockchain conditions; and
  • network demand.

Such fees may be charged separately from FrameLaPay service fees.

27. WALLET BALANCES

Where FrameLaPay provides wallets or account balances, displayed balances may be subject to:

  • pending transactions;
  • settlement delays;
  • reversals;
  • compliance holds;
  • exchange-rate changes;
  • blockchain confirmations; or
  • third-party reconciliation.

A displayed balance does not necessarily mean that funds are immediately withdrawable.

28. CUSTOMER FUNDS

Where applicable, customer funds may be held by FrameLaPay or by regulated financial partners.

The treatment of customer funds will depend on the applicable product, jurisdiction and legal structure.

Where funds are held by a regulated third party, that institution's safeguarding or custody arrangements may apply.

29. NO INTEREST UNLESS EXPRESSLY STATED

Unless expressly stated in the applicable product terms, holding funds in a FrameLaPay account does not create an entitlement to interest.

Where a particular product provides interest or returns, separate terms will apply.

30. TRANSACTION RECORDS

FrameLaPay may maintain records of transactions, including:

  • date and time;
  • amount;
  • currency;
  • sender;
  • recipient;
  • transaction reference;
  • fees;
  • exchange rate;
  • payment method;
  • status; and
  • related compliance information.

Transaction records may be retained as required by law.

31. RECEIPTS AND CONFIRMATIONS

FrameLaPay may provide electronic confirmations through:

  • email;
  • application notifications;
  • account dashboards;
  • SMS;
  • downloadable records; or
  • other electronic communications.

You should retain transaction confirmations where appropriate.

32. COMPLIANCE REVIEWS

Transactions may be subject to:

  • KYC;
  • AML;
  • sanctions screening;
  • fraud monitoring;
  • transaction monitoring;
  • source-of-funds checks; and
  • other compliance procedures.

These processes may occur before or after a transaction is initiated.

33. SOURCE OF FUNDS

FrameLaPay may request information regarding the source of funds.

You may be required to provide:

  • bank statements;
  • payslips;
  • business records;
  • invoices;
  • tax documents;
  • investment records;
  • sale agreements; or
  • other evidence reasonably required for verification.

34. SANCTIONS

Transactions involving sanctioned individuals, entities, countries, territories or activities may be rejected, blocked or placed on hold as required by applicable law.

We may not be able to disclose all reasons for a restriction where disclosure is prohibited.

35. FRAUD PREVENTION

FrameLaPay may use automated and manual systems to detect:

  • fraudulent transactions;
  • account takeover;
  • payment fraud;
  • money laundering;
  • unusual activity;
  • identity fraud; and
  • other risks.

These systems may result in additional verification or transaction restrictions.

36. TRANSACTION MONITORING

We may monitor transactions for:

  • unusual patterns;
  • rapid movement of funds;
  • unusual geographic activity;
  • suspicious counterparties;
  • unusual payment behaviour;
  • cryptocurrency risk indicators; and
  • other risk signals.

37. THIRD-PARTY PROCESSORS

Transactions may be processed through third-party providers.

These may include:

  • banks;
  • payment processors;
  • card networks;
  • foreign-exchange providers;
  • cryptocurrency infrastructure providers;
  • blockchain networks; and
  • other financial institutions.

Their terms may also apply.

38. THIRD-PARTY OUTAGES

FrameLaPay is not responsible for delays caused by:

  • bank outages;
  • payment-network outages;
  • card-network outages;
  • blockchain outages;
  • telecommunications failures;
  • internet failures; or
  • other third-party infrastructure problems.

We will take reasonable steps to restore service where possible.

39. DUPLICATE TRANSACTIONS

If a technical error results in a duplicate transaction, FrameLaPay may correct the duplicate transaction where legally and technically possible.

You agree to cooperate with reasonable reconciliation procedures.

40. ERRONEOUS CREDITS

⚠️ If funds are mistakenly credited to your account, you must not knowingly withdraw, transfer or spend those funds.

FrameLaPay may correct an erroneous credit.

41. NEGATIVE BALANCES

Where permitted by law and applicable product terms, you may be responsible for amounts owed to FrameLaPay arising from:

  • reversed transactions;
  • chargebacks;
  • fees;
  • erroneous credits;
  • payment disputes; or
  • other legitimate adjustments.

42. DISPUTES

If you dispute a transaction, contact FrameLaPay as soon as reasonably possible.

Provide:

  • transaction reference;
  • date;
  • amount;
  • nature of the dispute;
  • supporting documentation; and
  • any other relevant information.

43. DISPUTE INVESTIGATION

We may investigate disputed transactions by reviewing:

  • account activity;
  • authentication records;
  • transaction records;
  • device information;
  • payment-provider information;
  • communications;
  • fraud indicators; and
  • other relevant information.

44. TRANSACTION ERROR REPORTING

If you believe a transaction contains an error, notify us promptly.

Depending on applicable law, different reporting periods may apply to different payment products.

Failure to notify us promptly may affect our ability to investigate or recover funds.

45. TAXES

You are responsible for determining and paying any taxes applicable to your transactions.

FrameLaPay may be required to:

  • collect taxes;
  • report transactions;
  • withhold amounts;
  • provide tax information; or
  • disclose information to tax authorities.

46. PROHIBITED TRANSACTIONS

You must not use FrameLaPay to conduct transactions prohibited under our Acceptable Use & Prohibited Activities Policy.

This includes transactions involving:

  • fraud;
  • money laundering;
  • terrorist financing;
  • sanctions evasion;
  • stolen funds;
  • illegal goods;
  • illegal services;
  • unauthorised gambling;
  • counterfeit goods;
  • trafficking; or
  • other unlawful activity.

47. TRANSACTION RESTRICTIONS

FrameLaPay may restrict certain transactions based on:

  • jurisdiction;
  • currency;
  • payment method;
  • recipient;
  • risk;
  • regulatory requirements;
  • transaction size;
  • customer profile; or
  • product availability.

48. GEOGRAPHIC RESTRICTIONS

Not every FrameLaPay service is available in every country.

We may restrict or discontinue services in particular jurisdictions.

49. SERVICE AVAILABILITY

We do not guarantee that every payment method or financial service will always be available.

Services may be temporarily unavailable due to:

  • maintenance;
  • security incidents;
  • regulatory requirements;
  • partner outages;
  • technical failures; or
  • other circumstances.

50. SECURITY REQUIREMENTS

You must maintain reasonable security over your account.

You must:

  • use strong authentication;
  • protect passwords;
  • protect authentication codes;
  • avoid sharing account credentials;
  • secure your device; and
  • report suspected compromise promptly.

51. ELECTRONIC COMMUNICATIONS

Transaction confirmations and important notices may be delivered electronically.

You agree that electronic communications may satisfy applicable requirements for written notices where permitted by law.

52. TRANSACTION DATA

Transaction data may be processed in accordance with the FrameLaPay Privacy Policy.

We may use transaction information for:

  • service delivery;
  • fraud prevention;
  • compliance;
  • security;
  • analytics;
  • dispute resolution; and
  • legal obligations.

53. ACCOUNT SUSPENSION

FrameLaPay may suspend payment functionality where:

  • fraud is suspected;
  • KYC requirements are incomplete;
  • AML concerns arise;
  • sanctions concerns arise;
  • required information is not provided;
  • the account is compromised;
  • the user violates the Terms or policies; or
  • required by law.

54. ACCOUNT TERMINATION

Where permitted by law, FrameLaPay may terminate an account or payment relationship.

Any remaining legitimate funds will be handled according to applicable law and the circumstances of the account.

55. LIMITATION OF LIABILITY

To the extent permitted by applicable law, FrameLaPay will not be responsible for losses arising solely from:

  • incorrect recipient information supplied by you;
  • delays caused by third-party institutions;
  • blockchain network failures;
  • exchange-rate movements;
  • events beyond our reasonable control; or
  • your failure to secure your account.

📌 Nothing in these Payment Terms excludes liability that cannot legally be excluded.

56. CHANGES TO PAYMENT TERMS

We may update these Payment Terms to reflect:

  • changes in law;
  • regulatory requirements;
  • new payment products;
  • changes to our financial partners;
  • technological developments; or
  • changes to our business.

Material changes will be communicated in accordance with applicable law.

57. GOVERNING LAW

These Payment Terms shall be governed by applicable law and, subject to mandatory legal requirements, the laws of the Federal Republic of Nigeria.

59. RELATIONSHIP WITH OTHER POLICIES

These Payment & Transaction Terms should be read together with:

  1. FrameLaPay Terms of Service
  2. FrameLaPay Privacy Policy
  3. FrameLaPay Acceptable Use & Prohibited Activities Policy
  4. FrameLaPay KYC/AML & CFT Policy
  5. FrameLaPay Cookie Policy
  6. FrameLaPay Refund, Cancellation & Dispute Policy
  7. FrameLaPay Data Processing Agreement, where applicable.

Where a specific product has additional terms, those product-specific terms may take precedence over these Payment Terms to the extent of any inconsistency.
